Terms and Conditions of Service
Aurora Training and Solutions
Effective Date: 7th January 2025
1. Introduction
These Terms and Conditions (“Terms”) govern the provision of services by Aurora Training and Solutions (“we,” “us,” or “our”) to the client (“you” or “your”). By engaging our services, you agree to be bound by these Terms.
2. Services Provided
Aurora Training and Solutions offers virtual administration (VA), online business management (OBM) services and other additional services. The scope of services, fees, and deliverables will be outlined in a written Service Agreement or Proposal provided to you before work commences.
3. Fees and Payment Terms
1. Fees: Service fees will be outlined in your Service Agreement or Proposal.
2. Invoices:
• Invoices will be issued as agreed in your Service Agreement (e.g., upfront, milestone-based, or recurring).
• Payment terms will be agreed to in your service agreement, unless otherwise specified.
3. Late Payments:
• Payments not received by the due date on the invoice may result in services not being engaged.
4. GST: If applicable, fees are inclusive/exclusive of GST, as indicated in the invoice.
4. Cancellation and Refund Policy
1. Cancellation by You:
• You may cancel services by providing written notice at least 14 days before the next billing cycle.
• For prepaid services, refunds will be calculated based on work completed up to the cancellation date.
2. Cancellation by Us:
• We reserve the right to cancel services due to non-payment, breach of these Terms, or other reasonable grounds, with prior written notice.
3. Refunds:
• Refunds are provided in accordance with the ACL.
• If services fail to meet guarantees under the ACL (e.g., services are not delivered with due care, skill, or fit for purpose), you are entitled to remedies including a refund or resupply.
5. Consumer Guarantees
Our services are provided in compliance with the ACL, which includes the following guarantees:
• Services will be provided with due care and skill.
• Services will be fit for the purpose you specify.
• Services will be delivered within a reasonable time if no specific timeframe is agreed.
6. Limitation of Liability
1. To the extent permitted by law, Aurora Training and Solutions limits its liability for breach of guarantees to:
• Resupplying the services; or
• Reimbursing the cost of resupplying the services.
2. We are not liable for indirect or consequential losses arising from the use of our services.
7. Confidentiality and Intellectual Property
1. Confidentiality:
• Both parties agree to keep all sensitive information shared during the engagement confidential unless required by law.
2. Intellectual Property:
• All materials created by us remain our intellectual property until full payment is received. Upon payment, ownership transfers to you, unless otherwise set in the service agreement.
8. Dispute Resolution
1. If a dispute arises, both parties agree to:
• Attempt to resolve the issue amicably through discussion or mediation.
2. If unresolved, the matter may be referred to an appropriate legal authority.
9. Amendments to Terms
We reserve the right to amend these Terms from time to time. Clients will be notified of any significant changes. Continued use of our services constitutes acceptance of the updated Terms.
10. Governing Law
These Terms are governed by the laws of Victoria, Australia.
